1. Who we are

Meet Referral is operated by ALIEN LAB LLC, a Limited Liability Company (LLC) registered in Georgia under identification number 405844029, with its registered address at Nikoloz Kipshidze Street 16, Building 1, Apartment 12, Vake District, Tbilisi 0179, Georgia. References to “we”, “us” and “the Platform” in these Terms mean ALIEN LAB LLC operating the Meet Referral platform.

Meet Referral operates an affiliate and creator-marketing marketplace serving Georgia and the wider Caucasus. Commission amounts are denominated and settled in Georgian Lari (GEL). The Platform connects brands (“Brands”) that run promotional campaigns with creators and affiliates (“Affiliates”) who promote those campaigns through tracking links and earn commissions on resulting conversions.

2. Definitions

• “Campaign” — a Brand’s promotional offer, including its commission terms and budget.
• “Conversion” — a qualifying order attributed to an Affiliate’s tracking link.
• “Commission” — the amount an Affiliate earns for a Conversion, net of the Platform fee.
• “Hold window” — the period during which a Commission is pending and may be reversed before it clears.
• “Payout” — a withdrawal of an Affiliate’s cleared balance to their chosen payout method.

3. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate, current information and keep it up to date.
• You are responsible for safeguarding your credentials and for all activity under your account.
• We may require email verification and, before any payout, identity verification (KYC) and sanctions screening. We may withhold payouts until verification is complete.

4. The Platform’s role

We provide the marketplace, tracking, attribution, ledger, and payout tooling. We are not a party to the underlying commercial relationship between a Brand and an Affiliate beyond facilitating attribution, commission accounting, and settlement as described in these Terms. We do not guarantee any level of earnings, traffic, or conversions.

5. Affiliate obligations

• Promote Campaigns lawfully and honestly, and clearly disclose affiliate/sponsored relationships where required by applicable advertising and consumer-protection law.
• Do not engage in fraud, including self-referral, cookie-stuffing, bot or incentivized traffic, fabricated conversions, trademark-bidding abuse, spam, or any attempt to manipulate attribution.
• Do not promote in a manner that is misleading, defamatory, infringing, or otherwise unlawful.

6. Brand obligations

• Provide accurate Campaign terms, destination URLs, and commission rates.
• Fund Campaigns and honor the commission terms for valid Conversions.
• Report refunds, cancellations, and chargebacks promptly so commissions can be reversed.

7. Commissions, holds, refunds and payouts

Commissions are recorded in a double-entry ledger in integer minor units (tetri) and accrue as “pending” upon a Conversion. Pending Commissions clear after the Campaign’s hold window, after which they become available for payout. If an order is refunded, cancelled, or charged back, the associated Commission (and any Platform fee) may be reversed or clawed back, including after it has cleared.

Affiliates may request a payout of their cleared balance to a supported payout method. Payouts are subject to identity verification, minimum thresholds, applicable fees of the payout provider, and our fraud and compliance checks. You are solely responsible for any taxes arising from amounts you earn or receive through the Platform.

8. Platform fees

We charge a Platform fee on Commissions, expressed in basis points and disclosed in the applicable Campaign or your account settings. The fee is deducted when a Commission is recorded.

9. Content and intellectual property

You retain ownership of content you submit. You grant the relevant Brand and us a non-exclusive, worldwide, royalty-free license to host, display, and use submitted content as reasonably necessary to operate the Platform and the applicable Campaign. You represent that you have the rights to grant this license and that your content does not infringe any third-party rights.

10. Fraud, suspension and termination

We may investigate suspected fraud or abuse and may withhold, reverse, or forfeit Commissions, suspend or terminate accounts, and refuse service, where we reasonably believe these Terms have been violated or to protect the Platform, Brands, Affiliates, or third parties. You may close your account at any time; certain obligations (e.g. reversal of fraudulent Commissions) survive closure.

11. Disclaimers and limitation of liability

The Platform is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, and our aggregate liability arising out of or relating to the Platform is limited to the greater of the fees we earned from you in the three months preceding the claim or 100 GEL.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your use of the Platform, your content, or your breach of these Terms or of applicable law.

13. Governing law and disputes

These Terms are governed by the laws of Georgia, without regard to conflict-of-laws rules. The courts of Georgia shall have jurisdiction over disputes, subject to any mandatory consumer-protection rights you may have in your place of residence.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email. Continued use after the changes take effect constitutes acceptance.
